Acceptance of These Terms of Service

Remainder Studio LLC ("Remainder.studio," "we," "us," or "our") provides our AI-powered narrative production platform and related services (described below) through our website located at remainder.studio (the "Site"), including any content, tools, features, functionality, and technology offered on or through our Site (collectively, the "Service"). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these "Terms of Service").

By accessing, browsing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept the terms and conditions of these Terms of Service, you will not access, browse, or otherwise use the Service.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate the date these Terms of Service were last revised. We will also notify you of any material changes through the Service interface or email. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.

Service Description

The Service is an AI-powered narrative production platform designed to help creators transform scripts, stories, and creative ideas into multi-format content. The Service processes input data, information, and content that you provide — including scripts, text, prompts, images, audio, and other materials (collectively, "Submissions") — and generates and returns video, images, audio, text, and other output based on those Submissions ("Output," and together with the Submissions, "Content").

Key features of the Service include but are not limited to:

• AI-powered script parsing and scene breakdown
• Video clip generation using AI models
• Image generation for characters, panels, and thumbnails
• Text-to-speech voice generation
• AI-assisted creative writing (stories, novels, prompts)
• Character visual identity and continuity management
• Music cue extraction and management
• Project organization and episode management
• Export and publishing tools

Your Account

Registration Obligations

You must register for an account to access and use most features of the Service. When registering, you agree to provide and maintain true, accurate, current, and complete information about yourself. You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your account.

Age Requirement

You must be at least 13 years old to use the Service. If you are under 18 years old, you may use the Service only with the express consent of your parent or guardian.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

Submissions and Content

By uploading any Submission to the Service, you represent and warrant that:

• You have, or have obtained, all rights, licenses, consents, permissions, and authority necessary to submit and use such Submission in connection with the Service, including for generating Output
• Your Submissions and the use thereof by the Service will not violate any law or any third party's rights
• No other licenses, permissions, or payments must be obtained from or made to any other person arising from our use of your Submissions to create Output

You retain ownership of your original Submissions. By submitting Content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display your Submissions solely for the purpose of providing and improving the Service.

Intellectual Property Rights

Ownership of Output

Subject to these Terms and your compliance with them, and subject to the rights of any applicable third-party AI providers:

• Paid Plans: If you are on a paid subscription plan that includes commercial rights, you own the Output generated through the Service and may use it for commercial purposes, subject to applicable law and third-party rights
• Free Plan: Output generated on the Free plan is licensed to you for personal, non-commercial use only. Free plan Output may include a watermark

Our Intellectual Property

The Service, including its design, features, functionality, code, algorithms, visual design, and documentation, is owned by Remainder Studio LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service.

AI-Generated Content Limitations

Output is generated using third-party AI models. Due to the nature of AI-generated content:

• Output may not be unique — other users may receive similar or identical Output from similar inputs
• We do not guarantee that Output will not infringe third-party intellectual property rights
• You are solely responsible for evaluating the legality and appropriateness of using Output in your specific context
• Copyright protection for AI-generated works varies by jurisdiction and is an evolving area of law

Subscriptions, Credits & Payments

Subscription Plans

The Service offers various subscription tiers with different features, credit allocations, and storage limits. Plan details and pricing are available on our Pricing page. We reserve the right to modify plan features and pricing with reasonable notice.

Credits

Credits are the unit of currency used to access AI-powered features of the Service. Different actions consume different amounts of credits:

• Video generation is the most credit-intensive operation
• Image generation, voice synthesis, and AI writing consume varying amounts
• Specific credit costs are displayed before each action within the Service

Monthly subscription credits reset each billing cycle and do not roll over. Credits purchased as one-time packs do not expire.

Billing

Subscriptions are billed monthly through Square. By subscribing, you authorize us to charge your payment method on a recurring basis. You can cancel your subscription at any time; cancellations take effect at the end of the current billing period. We do not offer refunds for partial months of service or unused credits.

Free Plan

We may provide a free tier of the Service with limited features and credits. You may not create multiple accounts to exploit the free tier. If we believe you are not using the free tier in good faith, we may restrict or terminate your access.

Conditions of Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or these Terms of Service
• Generate, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Generate content depicting child sexual abuse material (CSAM) or the exploitation of minors
• Generate content that promotes violence, terrorism, or hate against any individual or group
• Infringe upon or violate the intellectual property rights, privacy, or other rights of any third party
• Impersonate any person or entity, or misrepresent your affiliation
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems
• Use the Service to develop competing AI products or to systematically scrape, mine, or extract data
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated means (bots, scrapers, etc.) to access the Service without our express written consent
• Circumvent any content moderation, safety filters, or usage limits

We reserve the right to remove any Content and suspend or terminate accounts that violate these conditions. Our content moderation system may automatically flag or block content that violates our policies. Repeated violations may result in account suspension under our strike system.

Third-Party Services and AI Providers

The Service integrates with and relies on third-party services, including:

• AI Content Generation: Google (Veo, Imagen), OpenAI, Anthropic (Claude), ElevenLabs
• Payment Processing: Square
• Publishing: YouTube (if connected)

Your use of these third-party services through our platform may be subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or quality of third-party services. AI-generated Output may be subject to the terms of the underlying AI provider.

Disclaimer of Warranties

Limitation of Liability

Indemnification

You agree to defend, indemnify, and hold harmless Remainder Studio LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Service, including but not limited to your Submissions, any Output you use or distribute, and any use of the Service other than as expressly authorized in these Terms.

Dispute Resolution by Binding Arbitration

Agreement to Arbitrate: You and Remainder Studio LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the Service shall be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

Arbitration Rules: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in English.

Class Action Waiver: YOU AND REMAINDER STUDIO LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Opt-Out: You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to: legal@remainder.studio.

Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service will immediately cease
• You may request a copy of your Content for a reasonable period after termination
• We may delete your Content after a reasonable retention period
• Any outstanding fees or charges will remain payable

You may terminate your account at any time by contacting us. Cancellation of a paid subscription takes effect at the end of the current billing period.

General Provisions

• Governing Law: These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
• Entire Agreement: These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Remainder Studio LLC regarding the Service.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, or failures of third-party services.
